Terms of Service for Northbridge Voiceworks Ltd

1. Introduction and acceptance of terms

These Terms of Service ("Terms") govern the provision of services by Northbridge Voiceworks Ltd, a voiceover-studio business based at Northbridge Voiceworks, 18 Chapel Street, Salford, Manchester M3 7DD, United Kingdom ("Northbridge Voiceworks Ltd", "we", "us", or "our"). These Terms apply to all clients, users, and other persons who purchase, request, commission, or otherwise receive our services ("Client", "you", or "your").

By placing an order, signing a quotation, paying an invoice, submitting a brief, approving a script, or otherwise instructing Northbridge Voiceworks Ltd to commence work, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

Any separate written agreement, statement of work, quotation, purchase order, or project confirmation issued by Northbridge Voiceworks Ltd may supplement these Terms. In the event of any inconsistency, the specific written agreement or confirmed quotation shall prevail to the extent of that inconsistency.

2. Scope of services

Northbridge Voiceworks Ltd provides professional voiceover and audio production services, which may include, without limitation:

  • Commercial voiceover recording;
  • Corporate narration;
  • E-learning and training audio;
  • IVR and telephone messaging;
  • Audiobook recording;
  • Podcast intros and promo spots; and
  • Script editing and voice direction.

We may also provide related services such as file formatting, retakes within the agreed scope, audio clean-up, delivery of multiple versions, pickup recordings, and consultation on scripts or pronunciation where agreed in advance.

All services are provided based on the project brief, reference materials, technical specifications, and timelines agreed between the parties. Any work outside the agreed scope, including additional revisions, extra usage rights, rush delivery, alternate scripts, or changes after approval, may incur additional charges.

We reserve the right to decline any project, script, or direction that we reasonably consider unlawful, defamatory, offensive, discriminatory, misleading, technically impracticable, or otherwise unsuitable for production.

3. User obligations and responsibilities

You agree to:

  • Provide accurate, complete, and timely instructions, scripts, references, pronunciation guidance, and technical requirements;
  • Ensure that all materials supplied to Northbridge Voiceworks Ltd are lawful, do not infringe third-party rights, and do not contain defamatory, unlawful, or misleading content;
  • Obtain all necessary permissions, licences, releases, consents, and approvals for the intended use of any supplied content, including trademarks, copyrighted works, names, likenesses, and voices where relevant;
  • Review and approve scripts, proofs, and recordings promptly to avoid delays;
  • Notify us promptly of any errors or concerns with deliverables;
  • Use the deliverables only for the permitted purpose, territory, media, and term agreed in writing; and
  • Not reverse engineer, resell, distribute, or misrepresent our services or deliverables except as expressly permitted.

You are responsible for ensuring that the final usage of the recording complies with all applicable laws, regulations, platform policies, and sector-specific rules. Unless expressly agreed otherwise, we do not provide legal, regulatory, or compliance advice regarding your intended use of the audio.

4. Payment terms and conditions

Fees will be set out in our quotation, estimate, rate card, invoice, or written agreement. Unless otherwise stated, all fees are quoted in pounds sterling (GBP) and are exclusive of VAT and any applicable taxes, which may be added where required by law.

Unless otherwise agreed in writing:

  • A deposit or full prepayment may be required before work begins;
  • Invoices are due within the payment period stated on the invoice;
  • Late payments may result in suspension of work, withholding of deliverables, and/or cancellation of the project;
  • Any bank charges, transfer fees, or payment processing fees borne by us due to your chosen payment method may be recharged to you where lawful; and
  • Prices may change for future work or additional services requested after the initial quotation.

Where a project is priced on a usage basis, the fee may depend on the medium, territory, duration, audience size, and exclusivity of the recording. If the actual usage differs from the agreed usage, we may require an additional licence fee or a revised fee.

We may suspend performance if any amount due remains unpaid. You are not entitled to offset, withhold, or deduct sums unless required by law or agreed in writing.

5. Cancellation and refund policy

You may request cancellation of a project by written notice. Cancellation charges will depend on the stage of the project and any costs already incurred by Northbridge Voiceworks Ltd, including studio time, preparation, recording, editing, engineering, voice direction, administration, and third-party expenses.

Unless otherwise stated in writing:

  • Deposits are non-refundable once work has commenced or studio time has been reserved;
  • If you cancel before work begins, we may refund any amount paid minus any reasonable administrative or processing fees;
  • If you cancel after work has started, you must pay for all work completed up to the cancellation date, plus any non-cancellable commitments and reasonable costs incurred;
  • Refunds will not be issued for delays caused by your failure to provide materials, approvals, or instructions; and
  • Delivered work that substantially conforms to the agreed brief is generally non-refundable.

If we are unable to complete the service due to our own material fault, and a remedy is not reasonably possible, we may at our discretion issue a partial refund or credit for the undelivered portion of the service. This does not affect any rights you may have under mandatory law, if applicable.

Any approved revisions, retakes, or pickup recordings must be requested within the timeframe specified in the project agreement. Changes outside scope, or caused by script alterations after approval, may be treated as a new chargeable project.

6. Liability limitations

To the fullest extent permitted by applicable law, Northbridge Voiceworks Ltd shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive losses or damages, including loss of profit, loss of business, loss of goodwill, loss of data, or loss of anticipated savings, arising out of or in connection with the provision or use of our services.

To the fullest extent permitted by law, our total aggregate liability arising from or relating to any project, whether in contract, tort, negligence, misrepresentation, or otherwise, shall not exceed the total fees actually paid by you to Northbridge Voiceworks Ltd for the specific service giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

We do not guarantee that a recording will achieve any particular commercial outcome, audience response, broadcast acceptance, sales performance, or platform approval. Any creative recommendations are provided in good faith but remain subject to your final approval and responsibility.

7. Intellectual property rights

Unless otherwise agreed in writing, all pre-existing intellectual property rights in scripts, voice direction materials, production methods, templates, editing tools, processes, and proprietary know-how belonging to Northbridge Voiceworks Ltd remain our property or the property of our licensors.

Subject to full payment of all fees due, and subject to the agreed usage licence, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the final delivered recordings for the specific purpose, media, territory, and term agreed in writing.

You acknowledge that:

  • No ownership of our underlying intellectual property is transferred to you unless expressly stated in a written assignment signed by us;
  • Any rights not expressly granted are reserved;
  • You may not use raw session files, alternate takes, outtakes, or unreleased material unless expressly permitted;
  • You are responsible for obtaining all rights in third-party materials supplied by you; and
  • We may retain copies of project files for archival, quality control, evidence, and operational purposes unless otherwise agreed.

We may, subject to any confidentiality obligations and your reasonable written objection, use excerpts, client names, logos, or project descriptions for portfolio, showreel, marketing, or promotional purposes where lawful and appropriate.

8. Data protection and privacy

Northbridge Voiceworks Ltd will process personal data in accordance with applicable data protection and privacy laws. We will use personal data only for legitimate business purposes such as project management, communication, invoicing, quality control, legal compliance, and service delivery.

Personal data may include your name, contact details, billing information, project communications, and any other information necessary to perform the services. Where voice recordings include personal data or identifiable speech, we will handle such materials with appropriate care and security measures.

We may share personal data with trusted service providers where necessary to operate our business, including accounting, IT, storage, and payment processing providers, subject to appropriate safeguards. We do not sell personal data.

You are responsible for ensuring that any personal data, scripts, or source materials you provide to us are collected and shared lawfully. If you supply personal data relating to third parties, you represent that you have the authority or lawful basis to do so.

Where applicable, our privacy practices may be set out in a separate privacy notice, which forms part of our data protection framework. In the event of conflict, applicable data protection law shall prevail.

9. Force majeure

Northbridge Voiceworks Ltd shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, storm, pandemic, epidemic, power failure, internet or telecommunications failure, industrial action, war, terrorism, civil unrest, governmental action, equipment failure, or the unavailability of key personnel or third-party services.

If a force majeure event occurs, we will use reasonable efforts to mitigate its effects and resume performance as soon as reasonably practicable. If the event continues for an extended period and materially affects performance, either party may suspend or terminate the affected project by written notice, subject to payment for work already completed and any unavoidable costs incurred.

10. Changes to terms

We may update or revise these Terms from time to time to reflect changes in our services, business practices, legal requirements, or operational needs. The updated Terms will take effect on the date stated in the revised version or, where no date is stated, upon publication or communication to you.

For ongoing projects, the Terms in force at the time the project was accepted shall generally apply unless a change is required by law or agreed in writing. Continued use of our services after changes become effective constitutes your acceptance of the revised Terms.

11. Applicable law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws applicable in England and Wales, unless mandatory law provides otherwise.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or relating to these Terms, subject to any mandatory consumer rights or other non-waivable jurisdictional provisions applicable by law.

13. Severability clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms.

The remaining provisions shall remain in full force and effect. Any failure by Northbridge Voiceworks Ltd to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision unless expressly waived in writing.

By engaging Northbridge Voiceworks Ltd, you confirm that you have authority to enter into these Terms and agree to be bound by them.
